Equipment season ends. The rebate arithmetic does not.

Equipment, coils and controls, counted inside the period the agreement names rather than inside a calendar year.

An HVAC distributor told the SEC to stop relying on its accounts

One 8-K, in 2007, over the timing of vendor rebates and nothing else.

restated by an HVAC and plumbing distributor over the timing of vendor rebates

Colonial Commercial Corp, Form 8-K Item 4.02, 21 May 2007, SEC EDGAR

A note on the evidence. HVAC, plumbing and electrical distributors do not file their supplier agreements with the SEC, because those agreements are not material under Item 601. Ace Hardware and Ruud Lighting are the direct evidence. The rest are agreements of the same shape from other industries. It is the best public evidence there is, and it is not direct evidence of your trade. For HVAC the one document squarely in the trade is the 8-K quoted here, and it is not a supply agreement, because those are not filed.

“Previously, some vendor rebates were recognized as a reduction of cost of sales when earned, not as a reduction of costs when sold.”

Three files, and the dates come out of the paper

We take the dates out of the agreement

An equipment programme that runs June to May is counted June to May, and a supplier running two programmes is counted on both.

How the reconciliation works
Nine supplier agreements fanned out, every one laid out differently, one pulled forward with an amber tab

    Send three files

Your purchase export for the season, the agreement that pays on it, and the statement they sent.

  2. 02

    We count the season

Every invoice inside the measurement period the agreement sets, and none outside it.

  3. 03

    You see the season

What the statement paid for that period, what the agreement earned, and the difference.

The rebate year does not have to start in January

Where a programme runs on a season, the season is what gets counted.

The period comes out of the paper

A programme that runs June to May is counted June to May.

Two programmes, two years

A supplier running equipment on a season and parts on the calendar year is counted twice.

Counted where the paper puts it

Each line lands in the period the agreement assigns it, whichever side of the year end.

Questions people ask first

Yes. The measurement period comes out of the agreement, so a programme that runs June to May is counted June to May. Where a supplier runs two programmes on two different years, each one is counted on its own.

Three files. The agreement that governs the rebate, one statement paid under it, and the purchase export covering the same period. The statement can be a PDF, a spreadsheet or a scan. The export needs date, supplier, invoice number, part number, quantity and amount, under whatever column names your system already uses.

No. Export your purchases the way you already do and send the file. Prophet 21, Eclipse, Infor and NetSuite all produce something we can read, and your IT guy never has to get involved.

Three plans between $299 and $1,199 a month, on the pricing page, with the agreement and purchase limits published for each one. Month to month, and you cancel it yourself.

Then you have a checked answer that your rebates are being paid correctly, which is what we expect on most agreements. The first pass is free for the first ten distributors, so finding nothing costs you a file transfer.

Your files are encrypted on US servers and only the people you invite can see them. We are not SOC 2 certified and we will not put a badge on this page pretending we are. If your controller wants a security review first, say so and we will work through it.

Send one statement from your biggest HVAC supplier.

We count it on that agreement’s own dates and send back what the season actually earned.
