The short version
- You send three kinds of file. We read them, match your statement against the invoices behind it, and show you the difference with the clause underneath.
- Your files stay yours. We use them to run the service for you and for nothing else.
- Three published prices, $299 to $1,199 a month, month to month. You cancel from inside the product and the next charge stops.
- Your data comes back out as a spreadsheet. Export stays open for 30 days after your last paid day, and then we delete it.
- We produce the claim packet. You file it, and you check the numbers before you do.
- If we cost you money, what you can recover is what you paid us in the twelve months before it happened.
- The registered company and the governing law are not on this page yet. Clause 17 says why, and what happens when they are.
Who wrote this
These were written by the person who runs Spreadjust. No lawyer has reviewed them. They describe what the product actually does, in words you can check against it, and that is the whole of what they claim to be. If your own counsel wants something changed before you send us anything, write to us and we will work through it.

The basics
1.Who this is between
You, the business on the account. Us, the people who run Spreadjust.
These terms cover this website at spreadjust.com and the product at app.spreadjust.com. “You” means the business that opens an account and everyone that business invites into it. “We” means Spreadjust, which operates both.
If you accept these terms on behalf of a company, you are confirming you can bind that company. The service runs on servers in the United States. Where the company is registered and which law governs this are not settled yet, and clause 17 says so rather than guessing.
Using the product means these terms apply to you. Sending us a statement for the first pass means the same.
2.The words on this page that mean something specific
Seven nouns this document leans on, defined once.
- Agreement
- Your supplier rebate agreement, or the part of a distribution agreement that sets the rebate. Whatever your supplier calls the file, it is the document that decides what you earned.
- Purchase export
- The purchase history you already pull out of your ERP. Date, supplier, invoice number, part number, quantity and amount, under whatever column names your system uses.
- Statement
- What your supplier or your buying group sends you saying what it calculated and paid. A PDF, a spreadsheet or a scan.
- Finding
- One place where the statement and your purchases disagree, with the amount and the clause it turns on.
- Claim packet
- The dates, the amounts and the contract clause behind a finding, in the format your supplier asks for. You file it.
- Audit file
- A dated record of every rebate you claimed and the invoices under it, exportable the day a supplier gives you notice.
- First pass
- The first reconciliation we run for you. Free while we onboard the first ten distributors, and run with a person reading your agreements alongside the software.
What the service does
3.What the service does
Three files in, one reconciled position out.
We read your agreements for the terms that decide what you earned: the rate, the levels, the measurement period, the claim window, and which purchases count towards it.
We match the lines on your statement against the invoices that earned them. Where the two disagree we show the difference and the clause that governs it.
From the same three files the product produces the claim packet, the claim ledger, the audit file, your accrual position, the deadline calendar, threshold alerts and the close forecast. What your plan includes is published on the pricing page.
All of it runs on files you already have. There is no connection to your ERP, and your IT people never have to get involved.
4.What the service does not do
We produce the packet. You file the claim.
We do not send claims to your suppliers and we do not talk to them on your behalf. The claim packet is yours to file.
We do not give accounting, tax or legal advice. What your controller gets is a reconciled position with the documents under it, and he decides what to book from it.
Special pricing agreements, ship and debit, and chargebacks are outside this product. Those are claims on what you sell, they need your sales data, and this checks the rebate you were owed for buying.
We make no promise that you will find money. On most agreements we expect to find that you were paid correctly, and a checked answer is a real outcome of the work.
5.The first pass
Free while we onboard the first ten, and nothing starts charging you at the end of it.
The first pass runs on one statement and the purchase export for the same period. It is free while we onboard the first ten distributors.
A person reads your agreements alongside the software, which is why it takes days rather than minutes.
You get the result whether or not you carry on. If you want to carry on, you pick a plan and tell us. Nothing turns into a paid subscription on its own.
You can ask us to delete the files you sent for it, at any point, and the privacy page says how.
Your files
6.What you are responsible for
The files have to be yours to send, and the export has to mean what it says.
You confirm that you have the right to send us every file you send us.
Your supplier agreement may bind you to keep it confidential. Read that part before you upload it. If your supplier wants a signed confidentiality undertaking from us first, ask us and we will sign one.
Our arithmetic runs on your columns. A purchase export carries several dates, and which one counts is set by your agreement: receipt, invoice, payment, shipment or the purchase order. We show you the basis we used on every agreement, and it is on you to tell us when it is the wrong one.
A deal that exists only as a handshake with your rep is not something we can read. If it moves money, write it down and send it with the rest.
Keep your own account secure, and invite only the people who should be looking at the money.
7.What we do with your files
We run the service on them. Nothing else.
Your files stay yours. You give us permission to store them, read them and produce the outputs above from them, for as long as your account is open and through the export window after it closes.
We do not sell your files, show them to another customer, use them to train a model, or send them to your supplier or your buying group.
The privacy page names every company that touches any of this and what each one receives.
8.Security, at the level we can stand behind
Encrypted, United States servers, invited users only, and not SOC 2.
Your files are encrypted in transit and at rest, they sit on servers in the United States, and only the people you invite into your account can see them.
People here read your agreements during the first pass, and afterwards whenever you ask us to look at something. That is how the product works today and the features section on the landing says so.
We are not SOC 2 certified and we will not put a badge on this page pretending we are. Other names on our comparison table do carry it, and the footnotes under that table say which. If your controller wants a security review before you send anything, say so and we will work through it.

Money
9.Price and billing
Three published prices, month to month, and 30 days of notice before a change reaches you.
The plans are published, and so is what each one covers.
- Starter, $299 a month, covers up to 25 supplier agreements, up to $25M a year of purchases reconciled and 2 users.
- Growth, $599 a month, covers up to 100 supplier agreements, up to $100M a year of purchases reconciled and 10 users.
- Scale, $1,199 a month, covers up to 500 supplier agreements, up to $500M a year of purchases reconciled and up to 50 users.
Every plan is month to month. Payment is due monthly in advance, and tax is added where it applies.
Your price does not move inside a month you have already paid for. If we change the price of your plan, the account owner gets it in writing at least 30 days before it applies, and you can cancel before it does.
If your account outgrows what your plan covers, we tell you and give you the choice of moving up. We will not move you up on our own.
10.Cancelling, refunds, and getting your data out
Cancel from inside the product. Your data comes out as a spreadsheet.
You cancel from inside the product, at any time, without writing to anybody. Cancelling stops the next charge.
The month you are already in is not refunded by default. If the product failed and we did not fix it, write to us and we will refund that month.
Your data comes back out as a spreadsheet. Export stays available for 30 days after your last paid day, and after that we delete your files and the findings on them. If you need longer, say so before the 30 days are up and we will hold it.
11.When we can suspend or close an account
Non-payment, or using it against somebody.
We can suspend an account that has not paid, after writing to the account owner and giving 14 days to put it right.
We can close an account being used to break the law, to attack the service, or to resell what it produces to other distributors as a service of your own.
In both cases you keep the export window in clause 10, unless the law tells us otherwise.
Promises and limits
12.What a finding is worth
A finding is our reading of your documents. Check it before you file it.
Every figure we produce comes out of your own files. Where an agreement is ambiguous we show you the clause we read it from, so that you can disagree with us about the paragraph rather than about the total.
A finding is a claim worth investigating. It becomes money when your supplier agrees. Read the packet before you file it, because a rejected claim usually gets one correction before it is closed for good.
13.Confidentiality, both directions
Your documents are confidential to us. Our prices are not confidential to you.
We treat your agreements, your purchases, your statements and your findings as confidential, and we use them only to run the service for you. That holds after your account closes, for as long as we hold anything at all.
Nothing on our public pages is confidential to you. Quote our prices, these terms and our answers to your controller, your auditor or your supplier.
14.Availability and support
No uptime number yet, and one person answering in writing.
We do not publish an uptime commitment today, because we do not have the operating history to stand behind one. A number invented for a page would be worth nothing to your controller.
Support is in writing through the contact page. It reaches one person, and the answer comes back in writing. When there is a response time we can hold to, it goes on this page with the date it started.
15.Liability, in plain words
What you can get back is what you paid us.
If we cause you a loss, what you can recover is capped at what you paid us in the twelve months before it happened.
A rebate you did not collect because we missed it falls outside that, and so do lost profit and the value of a claim your supplier rejected. That is the honest shape of a product that costs $299 to $1,199 a month, and pretending otherwise on this page would not change what a court did later.
Nothing here limits a liability that the law does not allow us to limit.

16.Changing these terms
Dated, and the changes that matter arrive in writing.
This page carries the date it last changed. If we change what you pay or what we do with your files, the account owner gets it in writing at least 30 days before it applies.
A correction of wording gets a new date and nothing else. If you want the version you signed up under, ask us and we will send it to you.
17.What this page does not name yet
The gaps, named rather than hidden.
This page does not name a registered company, a postal address, or a governing law and venue. There is nothing to name yet that would be true, and inventing one would be the first false statement on a site built to be checked.
All of it lands here before the first paid subscription starts, and it reaches the account owner in writing 30 days ahead, like any other change. Until then nothing on this page asks you to give up a right you hold under the law of your own state.
